We support international founders, expats and foreign companies throughout the entire incorporation process.
Choosing the wrong structure, or making a mistake in the bylaws, isn’t something you fix later with a simple procedure. It’s fixed with time, extra cost, and, in some cases, tax consequences you carry for years.
Setting up a company seems like a straightforward procedure until a non-resident partner enters the picture, or an activity doesn’t fit the standard business purpose, or a deadline doesn’t match what you actually need.
This leads to:
Initial structure assessment
We analyze your project, the number of partners, their tax residency, and the company’s business purpose, to determine whether an SL, a branch, or self-employed registration is the option that best fits.
Document management and coordination with the notary and Registry
We prepare the company name, bylaws, and all documentation required prior to signing, and coordinate directly with the notary and Commercial Registry so that the process moves forward smoothly.
NIE and immigration procedures
We handle obtaining the NIE for non-resident partners and directors, and assess whether a notarial power of attorney allows the process to move forward without needing to travel to Spain.
Tax and census registration
We file Form 036 with the AEAT and manage the process of obtaining the company’s final NIF.
International tax perspective from the start
If a partner relocates to Spain to run the company, we assess whether they can benefit from the special regime for posted workers, and review the applicable double taxation treaty before finalizing the corporate structure.
Can I set up a company in Spain without being a resident?
Yes. The starting point is obtaining the NIE as a non-resident. If you’re unable to travel to sign in person, we can consider a notarial power of attorney so that someone can sign the deed on your behalf.
Which structure suits me best, an SL, a branch, or self-employed status?
It depends on the number of partners, whether a company already exists in another country, and the expected volume of activity. We analyze this in the initial consultation before any paperwork is set in motion.
How long does the process take if there are non-resident partners?
It depends on how quickly each partner’s NIE is obtained, on the notary’s office, and on the workload of the Commercial Registry at that time. We give you a realistic estimate for your specific case, not a generic figure.
What happens if I relocate to Spain to run the company I’m setting up?
You may want to look into the special regime for posted workers, which allows you to be taxed as a non-resident for a limited number of tax years. We assess this together with the company formation, not as a separate procedure.
Does setting up the company include ongoing tax advice?
Company formation is the starting point. We can continue supporting the company’s accounting, tax matters, and recurring obligations if you need us to.
